Terms of Service – VocaTales Marketplace

Introduction

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and VocaTales, Inc., a Delaware C-Corporation doing business as VocaTales and Uptales (“Company,” “we,” or “us”). These Terms govern your access to and use of the Uptales platform (“Uptales” or the “Platform”), a service provided by VocaTales,Inc. including our website www.vocatales.com, www.uptales.com, and any affiliated services, features, applications, and tools provided by us.

Uptales is a curated marketplace of trusted experts — editors, designers, mentors, and creative professionals — who offer services to writers and storytellers via the VocaTales ecosystem, and other community channels, or through their own services. These Terms apply to all users of the Platform, including expert service providers (“Experts”) and those seeking services (“Buyers”). By using or accessing Uptales, you agree to be bound by:

  • These Terms of Service
  • Our Privacy Policy
  • Any other guidelines, terms, or rules referenced herein or made available through the Platform

If you do not agree to these Terms, do not access or use Uptales. In the event of any conflict between these Terms and other policies (including privacy or community guidelines), these Terms shall govern your relationship with the Platform, unless explicitly stated otherwise.

Overview and Definitions

Uptales is a curated marketplace hosted on the VocaTales platform that connects Experts — writers, editors, coaches, designers, educators, business owners, founders, content masters, and other storytelling professionals — with Buyers who seek trusted support and services to elevate their creative work (who could wear similar hats as writers, marketers, founders, and other content creators).

The Platform facilitates one-time consultations, paid service offerings, and ongoing collaboration between vetted Experts and Buyers. We enable seamless scheduling, messaging, and payment experiences, primarily by integrating with trusted third-party tools such as Zoom, Google Meet, Calendly, and Stripe. However, all services, pricing, and communication remain the responsibility of the Expert once matched.

VocaTales, Uptales, and our communities together to ensure these creative relationships are authentic, transparent, and beneficial to both sides.

Key Definitions

  • Platform: Refers to the Uptales marketplace, accessible via www.uptales.com, and all associated infrastructure provided by VocaTales, Inc., including any communication, scheduling, payment, and service interfaces.
  • User: Any individual or entity using the Platform. This includes Experts and Buyers, and anyone browsing or interacting with the site.
  • Expert: A vetted and approved professional who offers storytelling, editorial, publishing, coaching, or creative services to Buyers via the Uptales platform. Experts may also appear under specialized filters like “Story Masters,” “Publishing Masters,” “Guild-Approved,” “Chicago-Based,” and others.
  • Buyer: An individual or organization seeking and/or purchasing services through Uptales, either for one-time advice, collaborative work, or long-term engagements. Buyers may also be called “Storytellers,” “Seekers,” “Writers,” “Learners.”
  • Services: Any consultation, creative support, coaching session, editing job, visual design task, or other offerings listed and fulfilled by Experts via the Platform. These services may be delivered through third-party tools (Zoom, Google Meet, etc.) or offline, but are always initiated, tracked, and transacted via Uptales.
  • Content: Any text, image, document, project brief, review, listing, or communication uploaded or shared by Users on the Platform.
  • Third-Party Platform: Tools and services that are integrated into the Uptales experience but are not owned or operated by VocaTales, Inc. These include but are not limited to: Zoom, Calendly, Stripe, Google Workspace, or similar. The Platform does not host any consultation or project work directly, but facilitates their discovery, communication, and payment.

Eligibility and Account Creation

Age and Capacity Requirements

By creating an account on Uptales, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement and to use the Platform in compliance with all applicable laws and regulations. If you are creating an account on behalf of a business or organization, you confirm that you have the authority to bind such entity to these Terms.

Account Registration and Security

To access the features of the Uptales Platform—including the ability to offer or purchase services—you must register and create an account.

During registration, you agree to provide true, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@VocaTales.com if you suspect or become aware of any unauthorized use of your account or a breach of security.

VocaTales, Inc. is not responsible for any loss or damage arising from your failure to comply with this requirement.

Expert Verification and Onboarding

To ensure quality and trust, all Experts must complete our vetting process before being permitted to list services on Uptales. This process may include:

  • Review of work samples or portfolios relevant to your storytelling expertise;
  • Verification of identity and basic professional credentials;
  • Completion of a short introductory call with the VocaTales team;
  • Acceptance of these Terms and additional policies for Experts;
  • Optional background checks, where applicable.

We reserve the right to reject or remove any Expert application at our sole discretion, and to request further information or clarification at any time.

While we take reasonable measures to evaluate and curate our expert community, we do not guarantee the accuracy, completeness, or legitimacy of any Expert’s qualifications, credentials, or offerings.

Users engage with Experts at their own discretion and risk. VocaTales and Uptales disclaim all liability for misrepresentation, misconduct, or any losses resulting from third-party actions on or off the Platform. We are not liable for any damages arising from false credentials, undisclosed histories, or misleading representations by Experts or Buyers.

Platform Services

Scope of Services

VocaTales, Inc. (“we,” “us,” “our”), the Delaware C-Corporation that operates the Uptales marketplace, provides a platform that facilitates Consultation Calls and subscription-based services ("Advisor Plans") between Experts and Buyers. Our role is strictly limited to offering the technical infrastructure and support necessary for these creative, educational, or professional storytelling services to take place. We do not provide, supervise, or warrant the services delivered by Experts.

The Platform allows Experts to:

  • Create and manage profiles, showcase their expertise, set pricing and availability.
  • Offer one-time consultations or ongoing subscriptions that may include coaching, editing, publishing strategy, curriculum development, mentorship, and other professional services relevant to writing and storytelling.
  • Communicate and schedule engagements via an integrated dashboard.

Buyers (referred to as “Storytellers,” “Writers,” “Seekers,” or “Learners”) can:

  • Discover and book services from Experts via searchable listings and filters.
  • Manage appointments and subscriptions from their dashboard, including rescheduling or cancellation in accordance with platform policies.

All services are conducted via third-party platforms (e.g., Google Meet, Zoom) and not hosted by Uptales itself. We assume no responsibility for service delivery, quality, technical issues, or disputes that may arise between parties.

User Registration and Access

Users may sign up on Uptales using:

  • An email and password combination, or
  • Google Single Sign-On (SSO).

To enable seamless scheduling and coordination, Users may grant permission for calendar and email integration with services like Google or Zoom. This ensures:

  • Session confirmations are sent via calendar invites.
  • Booking logistics are efficiently handled via the Platform.

Consultation Calls

When a Consultation Call is booked:

  • The Expert and Buyer are solely responsible for coordination, preparation, and execution.
  • Uptales provides infrastructure to support scheduling, payment, notifications, and record-keeping.
  • The actual session occurs through third-party platforms, and Uptales is not responsible for any issues (e.g., no-shows, technical glitches, or behavior during the session).

Dispute Resolution

Parties should attempt to resolve issues independently. If necessary, they may contact Uptales Support, but we do not guarantee mediation or outcomes. Refund Policy:

  • Buyers may request a refund within 3 days of the scheduled session.
  • Refunds will be reviewed manually. Valid cases (e.g., Expert no-show) will be refunded to the Buyer and the fee deducted from the Expert’s account.

Rescheduling Policy:

  • Buyers may reschedule up to 24 hours before the session.
  • Experts may also request reschedules with the Buyer’s agreement.
  • Rescheduling within 24 hours is discouraged and only allowed under extenuating circumstances.

Subscription Services ("Advisor Plans")

When a Buyer subscribes to an Expert's plan:

  • The Expert is fully responsible for defining, delivering, and managing the scope of services.
  • Uptales manages the recurring payments and record-keeping only; we do not moderate ongoing communications or deliverables.
  • Sessions or deliverables are conducted through third-party platforms.

Dispute Resolution:

  • As with Consultation Calls, Uptales does not mediate ongoing disputes and cannot guarantee conflict resolution.

Cancellation Policy:

  • Buyers may cancel subscriptions anytime via the Buyer Dashboard.
  • Experts may initiate cancellation by contacting Support.
  • Subscriptions remain active until the end of the current billing period.

Service Limitations

While Uptales strives to ensure high service quality and platform stability, we do not guarantee:

  • The availability of any specific Expert.
  • The outcome or effectiveness of services provided.
  • The technical quality or uptime of third-party tools (e.g., Zoom, Google Meet).
  • Uninterrupted access to the Platform.

Booking and Scheduling

All bookings must be completed through Uptales' platform. Upon booking:

  • Both parties agree to honor the scheduled session or subscription commitments.
  • Reasonable notice should be provided for cancellations or reschedules.
  • Adherence to cancellation and refund policies is mandatory.

Payment Terms

Fees and Payment Processing

All payments for Services must be processed through the Platform's integrated payment system. We use industry-standard payment processors (e.g., Stripe) to ensure secure, encrypted, and reliable transactions. By using the Platform, you agree to the following terms:

  • Consultation Fees: Set solely by the Expert and displayed transparently on their profile.
  • Subscription Fees: Also determined and published by the Expert, clearly shown before purchase.
  • Currency: All payments are listed and charged in United States Dollars (USD).
  • Timing of Payment:
    • Consultation Calls: Paid at the time of booking.
    • Subscription Plans: Paid at the beginning of each billing cycle (monthly or otherwise, as defined by the Expert).

Fee Breakdown

The total fee paid by the Learner includes both the Expert's earnings and the Platform’s applicable service fees. No hidden fees are added on top of the displayed price.

  • Platform Service Fee: 13% of the total transaction amount, charged to the Expert. This includes:
    • 10% Platform Fee retained by VocaTales, Inc.
    • 10% Payment Processing Fee (e.g., Stripe, Zapier, Sharetribe).
  • Expert Earnings: Experts receive 80% of the total amount paid by the Learner, with no additional deductions.

Note: The Platform does not charge Learners any extra fees beyond what is displayed at checkout. VocaTales, Inc. reserves the right to revise its service fee structure or processing mechanisms with prior notice to Experts.

Expert Payout Schedule

To receive earnings, Experts must connect a valid payout account via Stripe during onboarding. They may:

  • Link an existing Stripe account, or
  • Create a new one during the signup flow.

Key Points:

  • Payout schedules, withdrawal timing, and verification requirements are governed by Stripe and not under VocaTales, Inc.’s control.
  • Experts can monitor their payout status, transaction history, and performance analytics via the Expert Dashboard.

The Platform assumes no responsibility for delays, failed payouts, or payment processor disputes. Experts must resolve such issues directly with the payment provider.

Monthly Platform Access Fee (Experts Only)

All Experts are required to maintain an active listing fee of $9 USD/month, billed through their connected payment account. This fee is mandatory to:

  • Keep their public profile live and visible on the Uptales platform.
  • Access expert-only tools such as:
    • Custom calendar scheduling
    • Advanced dashboard analytics
    • Client management support
    • Feature eligibility (spotlights, tags, etc.)
  • Receive ongoing technical support and platform updates.

Additional Notes:

  • The $9 monthly fee is non-refundable once charged.
  • The billing occurs automatically every 30 days, unless the Expert disables auto-renewal.
  • Experts who fail to pay this fee may have their listing paused or removed from search visibility.
  • Gain exclusive access to the VOCATALES Storyforge subscription, including educational content, templates, collaboration opportunities, and expert-only events.

This Platform Access Fee is independent of any revenue-sharing or service fees from consultations or subscriptions.

Privacy and Data Protection

Data Collection and Use

We are committed to protecting your privacy. All personal information collected through the Uptales platform is processed in accordance with our [Privacy Policy] and [Data Processing Agreement (DPA)], which are incorporated by reference into these Terms of Service. These documents outline:

  • What personal data we collect and how we use it.
  • Your rights under applicable data protection laws (including GDPR, where applicable).
  • The legal basis for processing your data.
  • How long we retain your information.
  • Our use of cookies and analytics tools.

Server Location: Our servers are hosted in the United States, and your personal data may be transferred to, processed, and stored in jurisdictions outside your country of residence. By using the Platform, you expressly consent to such transfer in compliance with applicable laws. You must ensure that all personal information provided to us is accurate, complete, and kept up to date.

Account Deletion and Data Retention

You may delete your account at any time from your Uptales dashboard. Upon deletion:

  • Your profile and visible user data will be removed from the public interface of the Platform.
  • However, we may retain certain information as necessary for compliance with our legal obligations, dispute resolution, security, fraud prevention, and enforcement of our agreements.
  • Transactional data related to payments, consultations, or subscriptions may be retained for audit and compliance purposes.

Permanent Deletion: If you wish to have all of your personal data deleted from our internal databases (beyond standard deactivation), you must submit a formal written request to: privacy@vocatales.com We will process such requests within 30 days, subject to applicable laws and regulatory requirements.

Confidentiality Obligations

All Users of the Platform, including both Experts and Learners, agree to maintain strict confidentiality regarding any sensitive or proprietary information shared or accessed through the Platform. This includes, but is not limited to:

  • Personal data of other Users;
  • Audio, video, or written content shared during sessions;
  • Business plans, ideas, intellectual property, or strategic information;
  • Any unpublished Platform features, internal processes, or proprietary technology.

Breach of Confidentiality may result in account suspension, termination, and potential legal action.

Video Recording and Session Documentation

To maintain transparency, accountability, and quality of service, the following policies apply to session recordings:

  • Consent Requirement: Experts and Learners must obtain explicit written or verbal consent before initiating any recording of video sessions. This applies regardless of whether the recording is done via Zoom, Google Meet, or other platforms.
  • Platform-Initiated Recordings: In select cases, Uptales may record sessions for internal training, moderation, or dispute resolution. These recordings are:
    • Stored in encrypted environments.
    • Accessible only by authorized personnel under strict access protocols.
    • Used solely for quality assurance or legal review purposes.
  • User-Initiated Recordings: Experts or Learners may record a session if both parties agree. The Platform is not liable for any disputes arising from unauthorized recordings.
  • Usage Restrictions: Session recordings may not be published, distributed, or used for any commercial purpose without explicit written consent from all participants.

Intellectual Property Rights

Platform Intellectual Property

All content, technology, designs, logos, service marks, functionality, and other materials displayed or made available through the Uptales platform are the sole and exclusive property of VocaTales, Inc., unless otherwise stated. This includes but is not limited to:

  • Website layout and design
  • Platform workflows and dashboards
  • Software code and features
  • Brand assets including "VocaTales", "Uptales", and any associated logos

These materials are protected by international copyright, trademark, trade secret, and other intellectual property laws. You agree not to:

  • Copy, reproduce, modify, publish, transmit, display, or distribute any part of the Platform without our prior written consent.
  • Reverse-engineer, decompile, or disassemble any part of the software.
  • Create derivative works or exploit any Platform content for commercial use, except as expressly permitted by these Terms.

User Content

Users may submit content to the Platform in various formats, including text, audio, video, images, and documents (collectively, “User Content”) for the purpose of:

  • Booking or offering services
  • Communicating with other users
  • Providing feedback or testimonials

By uploading or publishing any such content, you grant VocaTales, Inc. a non-exclusive, royalty-free, worldwide license to use, host, store, reproduce, modify, adapt, publish, and display such content for the purposes of operating and improving the Platform. This includes using the content to:

  • Enable consultation and subscription transactions
  • Showcase services and testimonials
  • Improve the product and user experience

This license does not grant us the right to sell or license your content to third parties without your explicit consent.

Expert Materials

Experts retain full intellectual property ownership of any original content, documents, slides, videos, or other materials they share with Learners as part of their Services. However, by delivering services through Uptales, Experts grant each purchasing Learner a limited, non-exclusive, non-transferable, revocable license to access and use the shared materials solely for personal, non-commercial use. This includes:

  • Session recordings (if consented and shared)
  • Presentation decks
  • Templates or worksheets
  • Educational or mentorship content

Learners may not reproduce, distribute, or resell any part of the Expert's materials without written permission from the Expert.

Disclaimers and Limitations of Liability

Service Disclaimer

THE UPTALES PLATFORM, INCLUDING ALL FEATURES, CONTENT, AND SERVICES, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. VOCATALES, INC. MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO:

  • THE IMPLIED WARRANTIES OF MERCHANTABILITY,
  • FITNESS FOR A PARTICULAR PURPOSE,
  • NON-INFRINGEMENT, OR
  • ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE IN TRADE.

We do not guarantee that the Platform will be available at all times, or that it will be secure, uninterrupted, error-free, or free of viruses or other harmful components. Use of the Platform is at your sole risk.

Professional Advice Disclaimer

VOCATALES, INC. IS NOT A PROFESSIONAL SERVICES FIRM AND DOES NOT PROVIDE LEGAL, MEDICAL, FINANCIAL, MENTAL HEALTH, OR ANY OTHER PROFESSIONAL ADVICE. Uptales acts solely as a neutral facilitator connecting Experts and Learners. Any advice, insight, or services provided by Experts via Consultation Calls or Subscription Plans are solely the responsibility of the individual Expert. We do not:

  • Endorse or guarantee the quality of any Expert’s advice or services;
  • Validate the qualifications or credentials of Experts beyond our internal vetting standards;
  • Assume any liability for actions taken by Learners or Experts based on information shared on the Platform.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, VOCATALES, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, LICENSORS, SERVICE PROVIDERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS,
  • LOSS OF REVENUE,
  • LOSS OF DATA,
  • LOSS OF GOODWILL, OR
  • BUSINESS INTERRUPTION,

ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM;
  • ANY CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY ON THE PLATFORM;
  • ANY CONTENT OR INFORMATION OBTAINED THROUGH THE PLATFORM;
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
  • ANY TECHNICAL FAILURE, OUTAGE, OR MALFUNCTION OF THIRD-PARTY SERVICES (e.g., Zoom, Google Meet, Stripe).

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU (IF ANY) FOR SERVICES THROUGH THE PLATFORM IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

Dispute Resolution

We encourage open communication and good-faith resolution of disputes between Users and VocaTales, Inc. before pursuing legal remedies.

Informal Resolution Process

Before initiating formal dispute procedures, the party initiating a complaint (the “Claimant”) must follow these steps: Step 1 – Dispute Notification The Claimant must send a written notice detailing the nature of the dispute, the relevant facts, and any relief sought (“Dispute Notice”) to the other party.

  • If you are a User, email the Dispute Notice to legal@vocatales.com.
  • If you are VocaTales, Inc., we will send the Dispute Notice to your registered email address.

Step 2 – Response Window The recipient has thirty (30) days to respond in writing from the date of receipt of the Dispute Notice. Step 3 – Follow-Up and Clarification If necessary, the Claimant may submit a reply within fifteen (15) days to address new information, propose remedies, or further clarify the dispute.

Mediation (Optional but Encouraged)

If the dispute remains unresolved after the informal steps:

  • Either party may propose mediation through the American Arbitration Association (AAA).
  • For disputes valued under $10,000, AAA’s Online Mediation platform (via aaamediation.org) may be used.
  • For disputes exceeding $10,000, a formal mediation request may be filed with AAA.

Mediation Costs: If both parties agree to proceed with mediation, the costs will be shared equally unless otherwise agreed.

Binding Arbitration

If the dispute cannot be resolved through informal resolution or mediation, both parties agree to resolve it through binding arbitration administered by the AAA, under its Commercial Arbitration Rules.

  • Venue: Arbitration shall take place in California, unless both parties agree to an alternative location.
  • Arbitrator Selection: The parties will have 30 days from notice of arbitration to mutually select an arbitrator. If no agreement is reached, the AAA will appoint one.
  • Authority: The arbitrator has the authority to grant any remedy, rule on dispositive motions, issue subpoenas, and resolve interpretation of these Terms.

Finality: The arbitrator’s decision is final and binding, and judgment may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AND VOCATALES, INC. AGREE THAT DISPUTES MUST BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY. You waive any right to:

  • Bring claims as a plaintiff or class member in any purported class, collective, or representative proceeding;
  • Consolidate your claims with those of others.

This waiver applies to all claims — whether in mediation, arbitration, or any other forum.

Term and Termination

Term of Agreement

These Terms remain in full force and effect for as long as you use the Uptales Platform or maintain an account with VocaTales, Inc. Termination of your account — whether by you or by us — does not affect the validity of provisions intended to survive, including but not limited to:

  • Dispute Resolution (Section 9)
  • Intellectual Property (Section 7)
  • Limitations of Liability and Disclaimers (Section 8)
  • Payment Obligations and Refund Policies (Section 4)

These provisions will continue to bind both parties even after account deactivation or termination.

Grounds for Termination

VocaTales, Inc. may suspend or terminate your access to all or part of the Platform, at its sole discretion, with or without notice, for any of the following reasons:

  • Violation of these Terms or any applicable law or regulation;
  • Request by law enforcement or government agencies;
  • Material modification, discontinuation, or shutdown of the Platform;
  • Unexpected technical, operational, or security issues;
  • Extended periods of user inactivity (e.g., 12 months without login);
  • Suspected fraud, abuse, impersonation, or illegal activity.

You may also terminate your account at any time by following the account deletion process outlined in our Privacy Policy.

Effects of Termination

Upon termination or deactivation of your account:

  • Your right to use the Platform immediately ends.
  • All licenses and access granted under these Terms are revoked.
  • Pending consultations or subscriptions may be canceled at our discretion.
  • No refunds will be issued for any fees paid, including subscription or consultation payments.
  • We reserve the right to retain or delete your content and records, in accordance with our Privacy Policy and applicable law.

##Modifications to Terms

###Changes to Terms

VocaTales, Inc. reserves the right to modify or replace these Terms at any time at its sole discretion. If a revision is material, we will provide at least fifteen (15) days’ notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Continued Use

By continuing to access or use the Uptales platform after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Platform.

Governing Law

These Terms and your use of the Uptales platform shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. This means that any disputes, claims, or legal proceedings related to these Terms or your use of the Platform shall be resolved under California law, regardless of your location or the location of your business.

The parties agree that any legal action or proceeding arising under these Terms shall be subject to the exclusive jurisdiction and venue of the courts located in California, and you consent to the personal jurisdiction of such courts.

Miscellaneous Provisions

Severability

If any provision of these Terms is found to be invalid, unenforceable, or void by a court of competent jurisdiction, such provision will be deemed ineffective only to the extent of the invalidity or unenforceability. The remainder of the Terms, including all unaffected provisions, will continue in full force and effect.

Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms to any third party. However, VocaTales, Inc. reserves the right to assign, transfer, or delegate its rights and obligations under these Terms to any entity at its sole discretion, without notice or consent.

Entire Agreement

These Terms, together with the Privacy Policy, the Data Processing Agreement (DPA), and any other legal notices published by VocaTales, Inc. on the Uptales platform, represent the complete and exclusive agreement between you and VocaTales, Inc. regarding your use of the Platform. They supersede all prior or contemporaneous agreements, communications, and representations, whether oral or written, related to the subject matter.

No Waiver

The failure of VocaTales, Inc. to enforce any provision or right under these Terms shall not be construed as a waiver of such provision or right. No waiver of any provision of these Terms will be deemed a continuing waiver, and any failure to assert any right or provision shall not operate as a waiver of future enforcement of the same.

Use of DBA Name

VocaTales, Inc. operates the Uptales platform under its registered business name. All references to “VocaTales,” “Uptales,” or "the Platform" in these Terms, the Privacy Policy, and associated agreements refer to VocaTales, Inc.
